1. Introduction

Welcome to the Pragmatix Advisory Portal ("Portal"), operated by Pragmatix ABN 69 297 089 181 ("Pragmatix", "we", "us", "our").

By accessing or using the Portal, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Portal.

2. About the Service

The Portal provides access to AI-powered advisory agents that offer guidance on digital transformation, governance, policy development, and related topics. The agents draw on established frameworks, standards, and best practices to provide information and generate content.

The Portal is not a substitute for professional advice. The AI agents are productivity tools to assist with research, drafting, and exploring digital transformation and governance concepts. They do not provide legal, financial, medical, or other professional advice.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Portal.

3.2 Account Security

You are responsible for:

  • Providing accurate registration information
  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised access

3.3 Account Approval

We reserve the right to approve or reject account registrations at our discretion. We may suspend or terminate accounts that violate these Terms.

  • Use the Portal to generate content that is harmful, defamatory, or infringes others' rights
  • Resell or commercially redistribute Portal access without authorisation
  • Use automated systems to access the Portal without permission
  • Attempt to reverse engineer, extract, or misuse the AI systems
  • Input confidential information belonging to third parties without authorisation

5. AI-Generated Content

5.1 Nature of AI Content

Content generated by the Portal's AI agents:

  • Is based on frameworks, standards, and best practices in the agents' knowledge base
  • May not be accurate, complete, or current
  • Should be treated as a starting point, not a final product
  • Requires human review and verification before use

5.2 Your Responsibility

You are solely responsible for:

  • Reviewing and verifying all AI-generated content
  • Any decisions made based on information from the Portal
  • Any documents, policies, or materials you create using AI-generated content
  • Ensuring AI-generated content is appropriate for your intended use
  • Obtaining professional advice where required

5.3 No Professional Advice

The Portal does not provide:

  • Legal advice
  • Financial or investment advice
  • Medical or clinical advice
  • Tax advice
  • Any advice requiring professional registration or licensing

6. Intellectual Property

6.1 Portal Content

The Portal, including its design, features, and underlying technology, is owned by Pragmatix and protected by Australian and international intellectual property laws. You may not copy, modify, or distribute any part of the Portal without our written consent.

6.2 AI-Generated Content

Subject to these Terms:

  • You retain ownership of content you input into the Portal
  • You may use AI-generated content for your personal or internal business purposes
  • AI-generated content may incorporate concepts from publicly available frameworks and standards
  • You are responsible for ensuring your use of AI-generated content does not infringe third-party rights

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Portal may be used by Pragmatix without obligation to you.

7. Service Tiers and Payment

7.1 Service Tiers

The Portal offers different service tiers with varying features and usage limits. Current tiers and pricing are displayed on the Portal.

7.2 Payment Terms

For paid tiers:

  • Fees are charged in Australian Dollars (AUD)
  • Payment is due in advance for the subscription period
  • All fees are non-refundable except as required by Australian Consumer Law
  • We may change pricing with 30 days' notice

7.3 Usage Limits

Each tier has message or usage limits. If you exceed your limit, you may need to upgrade or wait until the next billing period.

8. Privacy

Your use of the Portal is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Portal, you consent to our collection and use of information as described in the Privacy Policy.

9. Disclaimers

9.1 No Warranties

To the maximum extent permitted by law, the Portal is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to:

  • Merchantability or fitness for a particular purpose
  • Accuracy, reliability, or completeness of content
  • Uninterrupted or error-free operation
  • Security or freedom from viruses

9.2 AI Limitations

We do not warrant that:

  • AI-generated content is accurate, complete, or current
  • The AI agents will meet your specific requirements
  • The Portal will be available at all times

9.3 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

10. Limitation of Liability

10.1 Maximum Liability

To the maximum extent permitted by law, Pragmatix's total liability to you for any claims arising from or related to these Terms or your use of the Portal is limited to:

  • The amount you paid for the Portal in the 12 months preceding the claim; or
  • $100 AUD, whichever is greater.

10.2 Exclusion of Consequential Loss

To the maximum extent permitted by law, Pragmatix is not liable for any:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from reliance on AI-generated content
  • Damages arising from decisions made based on Portal content

10.3 Your Responsibility

You acknowledge that:

  • You are solely responsible for your use of AI-generated content
  • Professional advice should be sought for matters requiring professional accountability
  • Pragmatix is not liable for outcomes resulting from your use of AI-generated content

11. Indemnification

You agree to indemnify, defend, and hold harmless Pragmatix and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Portal
  • Your violation of these Terms
  • Your use of AI-generated content
  • Any content you input into the Portal
  • Your violation of any rights of another person or entity

12. Termination

12.1 By You

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of any fees paid.

12.2 By Us

We may suspend or terminate your account immediately if you:

  • Breach these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay applicable fees

We may also terminate accounts for any reason with 30 days' notice.

12.3 Effect of Termination

Upon termination:

  • Your right to access the Portal ceases immediately
  • We may delete your account data in accordance with our Privacy Policy
  • Provisions that by their nature should survive termination will remain in effect

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on the Portal
  • Updating the "Last updated" date
  • Sending notice to your registered email address for material changes

Your continued use of the Portal after changes take effect constitutes acceptance of the updated Terms.

14. General Provisions

These Terms are governed by the laws of Queensland, Australia. You submit to the non-exclusive jurisdiction of the courts of Queensland.

14.2 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Pragmatix regarding the Portal.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.5 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.
